The Corporate Paralegal assists Shareholders and Associates with a full range of corporate matters. They collect, analyze, and maintain information and documents following correct legal practice and Firm/Corporate Team standards and procedures.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
• Assist with corporate transactional work, including, but not limited to: closings of acquisition, financing and reorganization transactions
• Organize business entities and manage various state compliance matters (e.g., foreign qualifications, obtaining necessary federal and state accounts and registrations)
• Update and maintain corporate records books, including, but not limited to: meetings of the governing body and equity holders, stock records, and federal and state filings
• Assist with drafting of corporate resolution documents, organizational documents, closing certificates, and similar documents
• Assist with paperwork needed by the UCC, IRS, SEC and other regulatory bodies
• Perform legal research
• Meet annual billable hour requirement of 1,400 hours
• Willingness to cross-train and assist with real estate, bankruptcy/restructuring and other firm practice groups as needed
• Willingness to assist with non-billable matters as requested
QUALIFICATIONS AND EDUCATION REQUIREMENTS:
• Minimum of three years of prior corporate paralegal experience
• Two year degree and a Paralegal certificate from an ABA accredited program required
• Exceptional knowledge of MS Office Suite and Excel
• Proficiency in database use and management, as well as internet/electronic research
• Ability to communicate effectively and provide exceptional service to all internal and external clients
• Ability to work collaboratively within a team
• Excellent time-management and project management skills
• Highly organized and able to prioritize appropriately in a fast-paced environment
